The official reason for selling the Indoor Sports and Recreation Swimming Pool is that, as a company, it is too small and financially weak. Transferring its shares to a larger and financially stronger municipal company is intended to help Orka.

According to unofficial information, Orka will be bought by Zakład Energetyki Cieplnej. The city spokeswoman does not yet want to comment on the new buyer of Orka’s shares.

– The city council must first approve the sale of the shares, says Agnieszka Gergont. – Only then will it be possible to speak about a specific company. But choosing ZEC is logical.

Asked what will happen to the employees and Orka’s current president, Robert Tomczyk, after the swimming pool is sold, Agnieszka Gergont reassures that there will be no layoffs and that the president will not lose his position for now.

– In the first stage, there would be two presidents, says the spokeswoman. – This will not be a merger, so all Orka employees will keep their jobs.

The vote on the resolution allowing the sale of Orka will take place at the next meeting of the City Council.

Below is the justification for the draft resolution concerning the sale of shares in Kryta Pływalnia Sportowo-Rekreacyjna Sp. z o.o.

Pursuant to Article 18(2)(9)(g) of the Act on Municipal Self-Government, the exclusive competence of the municipal council includes adopting resolutions on municipal property matters exceeding the scope of ordinary management, concerning the determination of rules governing the contribution, withdrawal and sale of shares and stocks to be followed by the municipality’s executive body. By Resolution No. VII/41/11 of 30 March 2011, the municipal council granted the Mayor all powers to carry this out in any manner, using the legally permitted forms of action for this purpose. In the event of the sale of shares, the actions of the executive body must be based on a resolution of the municipal council, hence the need to adopt one. Kryta Pływalnia Sportowo-Rekreacyjna in Bolesławiec Sp. o.o. was established as the operator of the newly built swimming pool in order to organize a fully operational facility. This objective has been achieved. As the operator of the core activity in a project co-financed with European Union funds, we designated a municipal company; therefore, the acquisition of the shares by another company wholly owned by the Municipality of Bolesławiec does not affect the durability of the project. All functions and services provided to residents by the Indoor Sports and Recreation Swimming Pool will be maintained and, where possible, expanded. The planned sale of the shares of a small and financially weak company to a larger and financially stronger entity is intended to consolidate capital and prepare for continued operation after the project’s durability period expires.
