We wrote about the matter on February 25 in the article The Mayor Will Sell Orka. One of the items on the agenda of the February session of the Bolesławiec City Council was a vote on a draft resolution “on the disposal by the Mayor of Bolesławiec of shares in Kryta Pływalnia Sportowo-Rekreacyjna Sp. z o.o., based in Bolesławiec”. Jerzy Zieliński, the city secretary, spoke. “We are dealing not with privatization, but with the capital consolidation of companies,” he explained. “I will put it bluntly, to cut off all speculation: the president [Orki] announced at the shareholders’ meeting that the loss for 2012 would amount to PLN 39,000. And the shareholders’ meeting accepted that. The loss amounts to over PLN 200,000.”
“When half of the share capital has already been lost, the owner unfortunately has to do something about it,” Zieliński continued. As he explained to the councillors, after the resolution is adopted there will be “a lengthy process of acquiring the shares by the other company, internal restructuring and, subsequently, the merger of these companies”.
“The justification is contained in the accounts,” the secretary stated. “There is no other justification. Do not look for a second or third bottom, or other reasons. Firstly, capital consolidation will ensure that the services Orka provides to residents will continue to be delivered without disruption for years to come. Secondly, it will allow us to prepare effectively for the transfer of this facility.”
The discussion was joined by Mirosław Sakowski, head of the Civic Platform councillors’ group. “It is said that the company will be bought by the Municipal Heating Company,” he noted. “It is said so, but this resolution does not decide whether it will be ZEC or MZGK,” Jerzy Zieliński replied.
His opinion was also given by Piotr Hetel, head of the Democratic Left Alliance councillors’ group: “I wanted to clarify something. People are writing on internet forums that if Orka is taken over by ZEC, Hetel will raise heating charges. Hetel has no such authority and will not raise the charges.”
Also speaking was Jarosław Kowalski, head of the Forum councillors’ group: “The Commercial Companies Code requires the mayor to take corrective action. The mayor has an idea for such action, and we will hold him accountable for it.”
The councillors adopted the resolution on the disposal of shares in Orka. Twelve councillors voted in favor, while eight abstained. We will return to this matter.
